Roles & Responsibilities
This position requires an experienced, well organized and independent paralegal to provide support to the attorneys, particularly in M&A, PE, and capital markets transactions. The ideal candidate will have substantial exposure to both U.S. and PRC law, with experience in legal research, due diligence, and cross-border transactions.
ESSENTIAL JOB FUNCTIONS:
- To draft, translate and proofread legal documents for a broad range of corporate finance transactions, such as IPO, joint ventures and more
- To assist with due diligence and verification
- To assist with pre-IPO restructuring deals as well as post-IPO on-going listing rules compliance advisory work
- To be responsible for general administrative duties and legal research
- Proofreading translations and amendments to documents
- Conducting documentary due diligence reports
- Analyze and research on US law matters and PRC law matters.
- Carrying out verification exercise on listing document and preparing verification notes
- Reviewing and commenting on transactional documents
- Liaising with other professional parties and clients in the transactions
- Effect service of documents on counter-parties to proceedings/ disputes
- Internally, manage documents for associates (with help from secretaries), including making/updating pleadings and correspondence files, evidential documents and other files (this will require a proficiency/ ability to quickly become proficient in ‘virtual filing’ and searching across the firm’s online filing system)
- Assist associates in preparing exhibits and exhibit cover sheets to affidavits
- Assist with the preparation of bills of costs when requested
- Find case authorities from case citations and preparing bundles of authorities and indices to such bundles
- Prepare mini-bibles/ files of relevant authorities for associates’/ partner’s reference
- Support the legal team on administration related matters from time to time
- Respond to partners and associates in English and Chinese on research and analytical work requested by the clients.
- Draft simple documents and agreements based on key terms provided by the partners and associates.
- Translation between Chinese and English legal documents.
KNOWLEDGE, SKILLS, AND ABILITIES:
- Proficiency in English and Mandarin
- Fluently communicate in English and Mandarin in both oral and writing.
- Hard working, good team player, good time managemen and attention to details
- Advanced working knowledge of Microsoft Office software including Excel, Word and Outlook.
- Good communication skills.
- Strong self-starter, able to work independently with minimal direction.
- Knowledge of iManage/WorkSite, and familiarity with electronic discovery platforms a plus.
- Ability to multi-task and to manage time effectively.
- Ability to deal with others in a professional manner.
- Ability to work productively and cooperatively with other members of the department and Firm.
- Ability to work overtime, when needed.
