The Role

ScaleUp is hiring a senior deal leader to own the strategic M&A and corporate development workstreams for its restructuring and proposed IPO. The mandate: identify, structure, negotiate,and integrate strategic inorganic targets (including regulated boutique asset managers and payment/fintech entities), build investor-grade financial models, support reporting perimeter design under IFRS 3, and position the company for institutional investors and capital markets.

We need a deal architect—someone who canstructure, negotiate, defend, and execute complex M&A transactions andcorporate restructurings in a multi-entity, highly regulated environment. Thisis not a role for a passive advisor or someone who only flags risks; it is foran operator-investor who designs the strategic blueprint, negotiates the terms, and pushes the deal across the finish line with founders, target boards, the Sponsor, and regulators.

What You Will Do

• Drive End-to-End M&A Execution – Lead deal origination, valuation, structuring, and commercial negotiations for strategic targets (e.g., regulated boutique fund managers, fintechs, and payment platforms).
• Architect Deal Perimeters & Financial Models – Build dynamic acquisition, pro forma, and combined financial models across regional platforms and expansion markets (Singapore, Hong Kong, UAE).
• Secure Regulatory Approvals & Manage Documentation – Lead change-of-control filings with financial regulators (MAS, SFC, ADGM/DIFC) and drive transaction documentation (term sheets, SPAs, investment memos).
• Align Cross-Functional Workstreams – Partner with founders, PE sponsors, legal advisers, tax experts, and executive management to keep M&A, restructuring, and capital markets preparation synchronized.

What We Are Looking For

• 8–15+ Years Transaction & M&A Leadership – Senior background in investment banking, corporate development, PE/VC, or M&A advisory; proven track record executing complex transactions and cross-border reorganisations.
• Capital Markets & IPO Readiness – Direct experience structuring high-growth platforms for public listings (SEC/Nasdaq preferred), including drafting investment memos and aligning deal structures with institutional investor expectations.
• Regulatory & Deal Structuring Authority – Deep expertise in transaction documentation, valuation frameworks (DCF, multiples, LBO), and regulatory change-of-control processes for regulated financial entities.
• High-Velocity Deal Architect Mindset – Proactive operator comfortable negotiating directly with founders, target boards, PE sponsors, and regulators to push deals across the finish line.
