Job Description
Position Purpose
We are seeking a qualified lawyer/documentation manager to join the Structured Securities LEGAL Hong Kong team. The team currently is comprised of three (3) full-time team members and provides support to Global Markets and ALM Treasury teams across APAC on structured securities (i.e. securities with an embedded derivative or other type of structured pay-off) which are issued under BNPP and third party issuance programmes. Candidates who do not have relevant experience in this area but are highly motivated, willing to learn and take on new challenges would be considered.
We are looking to replace an existing member of the team who is moving to another role within BNPP’s LEGAL function in APAC.
Key Responsibilities
The successful candidate for this position will be expected to:
· Prepare documentation for structured securities (in note, warrant or certificate format) issued under BNPP’s balance sheet issuance programmes and third party EMTN programmes;
· Advise internal stakeholders from Global Markets and ALM Treasury teams on general and issuance-specific issues relating to securities and issuance programmes;
· Support internal stakeholders from front, middle and back-office teams on all aspects of the securities issuance process (including settlement instructions and listing applications);
· Manage legal risks relating to BNPP’s securities issuance business in accordance with prevailing CIB LEGAL standards.
· Instruct and interact with outside counsel in relation to the provision of external legal services;
· Demonstrate strong technical legal and analytical skills combined with a commercial minded, solutions-focused approach;
· Operate efficiently, independently and with initiative, taking ownership of tasks and larger projects, where appropriate;
· Work collaboratively as a part of team; and
· Demonstrate a willingness to support other members of the team and foster a cohesive and respectful working environment.
Contributing Responsibilities
Expected contributions of the successful candidate include:
· Keeping up to date with market and regulatory developments and sharing knowledge with relevant areas of business, across legal teams globally and with other functions as appropriate;
· Working on projects in relation to issuance programmes (updates and supplements), new product types or securities issuances in general;
· Providing assistance and support to, and co-ordinating with, other internal functions and other teams within CIB Legal;
· Working independently but also as a team player;
· Helping to make the Structured Securities LEGAL Hong Kong team a professional, efficient and pleasant work place;
· Participating in, and contributing to, workgroups and other meetings as required from time to time; and
Observing and embodying the BNP Paribas Group values.
Competencies (Technical / Behavioral)
The successful candidate will be expected to demonstrate:
· Technical knowledge, experience and ability (including analytical skills) in relation structured securities;
· A high degree of accuracy, numeracy, attention to detail and logical thinking as well as the ability to act with perspective;
· Confidence to advise on legal and regulatory issues relating to structured securities and also in managing relationships with, and the expectations of, business people who may sometimes be very demanding;
· Ability to communicate effectively and confidently with individuals at all levels of seniority and from different cultures;
· Willingness to take ownership of assigned matters and projects;
· Having a pro-active and “can-do” attitude;
· Ability to independently progress legal-related assignments/projects and drive them through to completion;
· Adaptability;
· Intellectual curiosity;
· Ability to work as part of a team including, without limitation, making updates/reports to his/her supervisor (and if appropriate) his/her colleagues properly and timely.
Specific Qualifications Required
· A lawyer qualified in common law jurisdiction, with 2+ years of post-qualification experience (or equivalent) in a securities-related field, gained at an international law firm and/or a global financial institution. Experience in equity, credit, rates, FX or commodity derivatives would be looked upon favourably.
· Excellent command of written and spoken English is essential.
· Proficiency in Mandarin or another Asian language would be an advantage.
· Understanding of structured products/derivatives preferred.
